GENERAL TERMS AND CONDITIONS:
1. General
Seeds&Summits provides coaching and consulting services in accordance with these General Terms and Conditions (GTC). These terms and conditions are deemed to be accepted upon commissioning. Any deviations from these GTC must be agreed in writing. The contracts we conclude are service contracts, unless expressly agreed otherwise. The subject matter of the contract is therefore the provision of the agreed services, not the achievement of a specific result. In particular, we do not owe a specific economic result. Our statements and recommendations prepare the client’s business decision. They cannot replace it under any circumstances.
We are entitled to call on assistants, expert third parties, and other vicarious agents to perform a consulting contract. Due to the applicable provisions, we neither promise nor provide consulting services in legal and tax matters. These services must be provided by the client itself. We provide our consulting services on the basis of the data and information provided to us by the client or its representatives. We check these for plausibility. The client is responsible for ensuring that they are factually correct and complete.
2. Offers, fees
Offers are subject to change. All fees are quoted in euros. For coaching and consulting services, the fees specified in the coaching or consulting offer will be charged. If the coaching or consulting takes place outside Vienna, additional travel and accommodation costs will be charged at a reasonable rate. Unless costs have been approved by another party, the client shall be deemed the debtor of the coaching or consulting fee. A flat fee shall be agreed for meetings to prepare for training/coaching and other tasks to be carried out jointly with the client or third parties, as well as for debriefings. Unless otherwise agreed, our fees are due immediately upon invoicing and without deduction. Retention of our fee and offsetting are only permissible if the client’s claims have been recognized by us or have been legally established.
The contractor is entitled to send invoices to the client in electronic form. The client expressly agrees to the contractor sending invoices in electronic form.
3. Cancellation of an appointment
Cancellation of the coaching or consulting session free of charge is possible up to 24 hours before the appointment, for Monday appointments by Friday 1:00 p.m., after which the full fee is due. This also applies to the free initial consultation! By agreeing to an appointment for an initial consultation, you accept this rule. If an appointment for the provision of services by the trainer/coach cannot be kept due to force majeure, illness, accident, or other circumstances beyond the trainer/coach’s control, the trainer/coach is entitled, to the exclusion of any liability for damages, to make up for the services at a new appointment to be agreed upon.
4. Copyright
Unless otherwise agreed, all documents handed over to the client are included in the agreed remuneration. The copyright to the documents belongs solely to Seeds&Summits. The client is not permitted to reproduce the documents in whole or in part and/or make them available to third parties without the written consent of Seeds&Summits.
5. Insurance coverage
Each client bears full responsibility for themselves and their actions inside and outside the coaching sessions and is liable for any damage caused. Coaching is not psychotherapy and cannot replace it. Participation requires normal mental and physical resilience. The client is always the organizer of team coaching sessions, seminars, workshops, etc. Participants are therefore not covered by our insurance.
6. Liability
The information and advice provided in coaching sessions and in all documentation has been carefully considered and reviewed by the coach. Seeds&Summits’ activities are purely service-related. Success is therefore not guaranteed. Liability is excluded. Liability for the proper provision of services in accordance with § 1 of the consulting contract is limited to the partnership and the respective service provider.
7. Confidentiality
Seeds&Summits undertakes to maintain unlimited confidentiality towards third parties regarding all operational information of the client that becomes known in the course of its activities, even after the termination of the contract. Furthermore, Seeds&Summits undertakes to store the documents provided for the purpose of consulting activities carefully and to protect them from access by third parties.
8. Duty of cooperation of the client
Coaching is based on the preparatory discussions held between the parties. It is based on cooperation and mutual trust. In this context, the coach would like to point out that coaching is a free, active, and self-responsible process and that certain successes cannot be guaranteed. The coach supports the client as a process facilitator and provides assistance with decisions and changes—the actual work of change is done by the client. The client should therefore be willing and open to engage with themselves and their situation.
9. Final provision
Any change to the General Terms and Conditions requires a written supplementary agreement.
10. Place of performance and jurisdiction
The place of performance is Vienna. The place of jurisdiction is the competent commercial court in Vienna. The law of the Republic of Austria applies. September 20251. Allgemeines
